These terms apply to all products and services of crue GmbH, 5408 Ennetbaden (crue), for its clients and partners. They are written for businesses. Terms of a client apply only if crue has accepted them in writing.

The order of precedence is: the signed offer or order confirmation, any data processing agreement, then these terms.

Product pages, prices and the assistant describe our offer and are not binding. Sending a form, booking a call or ordering a plan on the website is a request. The contract comes into being when crue confirms it in writing, by email or through an accepted offer, or when crue starts the work at the client's request.

Monthly plans provide a product at the scope of the chosen plan, set up with the client and run from month to month.

Builds set a product up around the client's company, brand and systems at a fixed price and date, followed by a monthly plan that keeps it running and current.

Partnerships, resale and white label use are governed by a separate partner agreement.

crue may develop its products further, as long as the agreed scope and quality are kept.

Prices are in Swiss francs and exclude value added tax, which is added at the applicable rate. Amounts shown on the website in euros or US dollars are converted for orientation only; the offer states the currency of the invoice.

Monthly plans are invoiced in advance each month. Builds are invoiced half on confirmation and half on handover. Invoices are payable within thirty days. Plans include normal usage; heavy image, video or compute volumes are billed per use within a limit the client sets, so there is never an open ended bill.

If an invoice remains unpaid after a reminder, crue may pause the service until it is paid.

Monthly plans run for an indefinite period and can be cancelled by either side with one month's notice to the end of a month, in writing; email is enough. The monthly plan that follows a build can be cancelled in the same way unless the offer sets a minimum term. Either side may end the contract with immediate effect for good cause.

crue's products are human led and AI powered: AI prepares and produces, people at crue set the direction and review. The client approves what is published, sent or booked in its name, and remains responsible for that decision.

AI results can contain mistakes. crue designs its products so that a person checks before anything goes out, but cannot guarantee that every result is complete and correct. crue does not guarantee specific outcomes such as rankings, mentions in AI assistants, leads, sales or conversion rates.

The client provides the information, access and materials needed in time, and confirms it has the rights to the material it gives crue: texts, images, logos, data and product information. It names a person who can take decisions and approve work.

Once paid in full, the client owns the work results made specifically for it, such as texts, images, films, designs and content, and may use them without limit.

crue keeps all rights to its products, software, skills, methods and know-how, including improvements. For the term of the contract the client receives a non exclusive, non transferable right to use the products for its own business.

Both sides keep confidential what they learn about each other, during and after the contract. Where crue processes personal data on the client's behalf, it does so under a data processing agreement and the Swiss Federal Act on Data Protection, and where it applies the GDPR. What crue hosts runs in Switzerland, the EU or the US, depending on the product and what the client needs; client data is never used to train AI models. See also our privacy policy.

Products work with services of other providers, such as AI models, hosting, bexio, analytics or social networks. Their terms apply to their services. crue chooses them with care but is not responsible for their availability, changes or prices; where a change affects the agreed scope, crue proposes an equivalent solution.

crue delivers its services with due care. If a result does not meet what was agreed, the client reports it within thirty days and crue fixes it within a reasonable time.

crue is liable for damage caused intentionally or by gross negligence. Any other liability is excluded to the extent the law allows, and in any case limited to the fees the client paid in the twelve months before the damage. Liability for indirect damage, lost profit and lost data is excluded.

crue may change these terms for the future. It informs existing clients at least thirty days in advance; if a client does not object in writing within that time, the new terms apply from the date given.

These terms and all contracts with crue are governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the registered seat of crue GmbH.
